The Endowment relied on the Association to establish compensation by using a compensation committee, independent compensation consultant, the Form 990 of other organizations, compensation survey or study, and approval by the board to establish CEO compensation. Form 990, Part VI, Section A, line 2 All board members have a business relationship as they all serve on the board of a related organization, Pasadena Tournament of Roses Association. Form 990, Part VI, Section A, line 7a The organization is governed by a board consisting of ex officio directors and, if designated, additional directors appointed by the Designator. The Pasadena Tournament of Roses Association serves as the Designator. Five directors serve ex officio by virtue of their positions with the Association as the Endowment's President, Vice President, Secretary, Treasurer, and Endowment Director. The Designator also has the authority to designate up to six additional directors from among specified classes of Association leadership and membership, and to determine the total number of directors within the range established by the bylaws.
