Form 990, Part VI, Section A, Line 7a, 7b, 8a, 8b The representatives of the member companies who are elected to the Board make decisions for the Guaranty Association on behalf of its members. The Association has a written Plan of Operation Plan as required by NJ Statute 17B32A-9. Certain decisions of the Board, including changes to the Plan, are subject to approval of the Commissioner of the Department of Banking and Insurance. In addition, the Association is a member of the National Organization of Life Health Insurance Guaranty Associations NOLHGA. NJLHIGA follows the corporate governace policies and procedures promulgated by NOLHGA. Form 990, Part VI, Section B, Line 11a A draft copy of this form was provided to the full Board of Directors for review and comment before it was filed. The draft was transmitted by email. Form 990, Part VI, Section B, Line 12a, 12b, 12c Section 3 of the Plan of Operation covers conflict of interest issues. There is also a Board adopted Conflict of Interest Policy. Whenever a conflict of interest arises the Board member or Executive Director discloses the conflict. The Plan states that the conflict can preclude the person with the conflict from voting on a matter to which the conflict may relate. Form 990, Part VI, Section B, Line 13 There is a Board adopted Whistleblower Rights Policy. Form 990, Part VI, Section B, Line 14 As a member of NOLHGA, the NJLHIGA follows the written document retention policy issued of NOLHGA. It also follows generally accepted procedures with respect to document retention and destruction. Form 990, Part VI, Section B, Line 15a, 15b The Executive Committee of the NJLHIGA Board makes decisions regarding compensation of employees. Decisions are made by the Committee and discussed with the Executive Director. Form 990, Part VI, Section B, Line 18 NJLHIGA is not considered a public entity subject to any statute requiring that internal records be open to the public.
