The Alliance monitors regulatory and policy developments, educates members on emerging issues, and facilitates coordinated industry engagement to promote science- and risk-based regulatory approaches that are operationally feasible and environmentally responsible. Restricted Program activities include: - Africa Engagement Initiative: Stakeholder Mapping and Engagement Campaign, providing mapping and education efforts in South Africa. Form 990, Part VI, Section A, line 6 EnerGeo Alliance has classes of members: Governing: Any company that satisfies the requirements of 1 and 2 below: 1. The company's primary business is one or more of the following: * Energy geoscience data acquisition contractor; * Energy geoscience data processing contractor; * Owner and supplier of multi-client energy geoscience data for license; * Energy geoscience service provider; or * Energy geoscience equipment supplier/manufacturer. 2. The company is: * Not owned by a government or a petroleum and natural gas exploration and production company (energy company); or * Owned by a government or an energy company and: - Receives at least 35% of its revenues (from energy geoscience products and services) from sources other than its owner(s) or other companies or government agencies affiliated with its owner(s), measured based on a "rolling" average for the last three 12-month periods that have been closed and reported; and - Maintains a viable, ongoing business providing energy geoscience goods and services outside its home country. Contributing: Any company that meets the Governing Member definition but declines participation as a Governing Member. Associate: Any company that provides products and/or services to the energy geoscience and exploration industry. Industry Partner: Exploration and/or production (energy industry) companies that support the mission and objectives of the Alliance, including both operators and non-operators. Professional Services: Any company that provides professional services to the energy geoscience and exploration industry. Form 990, Part VI, Section A, line 7a The Board of Directors is the governing body of EnerGeo Alliance. Directors are elected by vote of membership. Please see the previous item for a full description of member classes. Form 990, Part VI, Section A, line 7b Voting members (Governing, Contributing and Associate) may vote on matters brought before the membership. Each member has one vote, and the following decisions require their approval: amendment of Articles of Incorporation, amendment of Bylaws, election of directors, approval of any member meeting minutes for adoption, and any other matter properly put to the membership as provided in the Bylaws. Form 990, Part VI, Section B, line 11b Outside accountants review the financial statements under the supervision of the President & CEO, Treasurer, and VP Business Operations. Form 990 is prepared by a separate outside accounting firm and is reviewed and approved by the President & CEO and VP Business Operations. A copy is provided to the Board of Directors before filing with the IRS. Form 990, Part VI, Section B, line 12 Energeo Alliance maintains a formal conflict of interest policy within the Employee Handbook as part of the Ethics and Anti-Corruption Policy to address conflicts of interest and promote ethical conduct across the organization. Compliance with this policy is reinforced through a mandatory employee acknowledgment and sign-off process completed during onboarding. Any Board member who becomes aware of circumstances that present an actual or potential conflict of interest is required to recuse themselves from the decision-making process and take no part in the discussion or vote on the conflict matter. Form 990, Part VI, Section B, line 15 For the EnerGeo Alliance President & CEO, compensation decisions are supported by comparability data and are led by the Board Chairman and Vice Chairman. The Board approves as part of the annual budget approval process. EnerGeo Alliance follows a similar process to determine the compensation of other officers and key employees, but this process is led by the President & CEO. All changes in compensation of the President and key employees are approved by the Board as part of the annual budget approval process and documented in writing and archived. Form 990, Part VI, Section C, line 19 Quarterly financial statements and governing documents are provided to the governing body and made available to the membership upon request. The Annual Review of Financial Statements is provided to all voting members' principal representative prior to the annual meeting held virtually.
