Neither of these directors were an officer of the Association. Pt VI, Line 11b The year-end financial statements were reviewed and adopted by the Board of Directors. The Treasurer provided the information for the Form 990. The President reviewed the Form 990; thereafter, the Treasurer executed the Form 990. Pt VI, Line 6 The Association is comprised of members. There was only one class of membership and each member had an equal vote. All proposed modifications to the Associations Articles of Incorporation or Bylaws were subject to approval by the membership. The members elected a majority (13 of 22) of the governing body (six officers and seven directors). The remaining nine directors were appointed by the governing body. Pt VI, Line 12c The Associations Board of Directors assesses any possible conflicts and takes any necessary action to eliminate potential conflicts.
