The late filing was due to reasonable cause and not to willful neglect. Omega Alpha Elder Association of Zeta Psi is a section 501(c)(7) social club operated entirely by volunteer directors. It has no employees or compensated officers and does not engage a paid return preparer. Its annual returns are prepared by an unpaid volunteer officer, and the organization has filed an annual return for every year of its existence. During the fiscal year, the organization sold its chapter house. The sale was an extraordinary, non-recurring transaction and the organization's first disposition of real property. Proper reporting required locating and reconciling historical property and transaction records and analyzing reporting issues that had not arisen in the organization's prior annual returns. The organization was aware of its filing obligation and timely obtained an extension of time to file Form 990. The volunteer officer responsible for the return continued working to obtain and reconcile the information necessary to report the transaction accurately, but that process took longer than anticipated and extended beyond the extended filing deadline. Once sufficient information had been assembled to complete the Form 990 accurately, the organization completed and filed the return promptly. The delay resulted from this unusual, one-time transaction rather than disregard of the organization's filing obligations. The organization has taken steps to identify extraordinary transactions requiring additional tax analysis earlier in the return-preparation process. In light of these circumstances, the organization's timely extension request, prior filing history, and efforts to prepare a complete and accurate return, the organization respectfully requests that the late-filing penalty be abated in full.
