Accordingly there was no minimum distribution requirement and the cash distribution test is satisfied. Rise Collective is a newly formed private operating foundation and is operated entirely by volunteers. During its initial year of operation the organization was in the process of establishing its governance structure financial systems and compliance procedures. Because the organization had no paid staff no outside accounting support and limited institutional knowledge regarding private foundation reporting requirements it was unaware that Form 990-PF was required to be filed electronically by the applicable deadline. The failure to file timely was not due to willful neglect but resulted from an inadvertent misunderstanding of the organizations federal filing obligations during its first year of operation. Upon learning of the filing requirement the organization promptly prepared and submitted the required return.
