After the staff review process is completed it is then independently reviewed by one member of the board of directors before it is then reviewed and signed by the Executive Director of the nonprofit. Form 990, Part VI, Section B, Line 12c Directors and key employees are required to review the nonprofit's conflict of interest policy and disclose annually interests that could give rise to conflicts. Annually, the responsibilities and job requirements for each position are evaluated as part of the compensation process to ensure no new conflicts arise that could be mitigated through a review of job descriptions annually. Additionally, the board of directors are required at each vote to disclose any conflicts of interest which would then be recorded in the minutes of the meeting should they arise. Form 990, Part VI, Section B, Line 15 The salary of the Executive Director and the Director of Care and Advance is decided by the remaining members of the board of the directors. The Board (or a Compensation Committee) shall: -Use comparability data from churches, networks, and ministries of similar size -Ensure recusal of any individual whose compensation is being discussed -Document the basis for its decision in the minutes -Review compensation at least annually Additionally, the Corporation may enter into transactions with directors, officers, or related parties only if: -The transaction is fair and reasonable -It benefits the Corporation -It is approved by a majority of disinterested directors -Comparable alternatives have been evaluated Finally, the Corporation shall not engage in private inurement, excess benefit transactions, self-dealing, or any other transaction prohibited by Section 4958 of the Internal Revenue Code. If the Board determines that a prohibited transaction has occurred, the Corporation shall take appropriate remedial action, which may include one or more of the following: -Correction of the Excess Benefit Requiring the disqualified person to return the excess benefit in full, plus interest or any additional amount required by IRS regulations. -Rescission or Reformation of the Transaction Voiding, reversing, or modifying the transaction to ensure it is fair, reasonable, and in the best interest of the Corporation. -Disciplinary Action Including removal from office, termination of employment, suspension of authority, or removal from the Board or committee. -Implementation of Safeguards Adopting additional procedures or controls to prevent recurrence, such as enhanced oversight, new approval thresholds, or additional comparability data. -Reporting to the IRS or Government Authorities Filing any corrective documentation required by law, including Forms 4720 or amended 990-series returns if applicable. -Recovery of Damages Seeking restitution for losses sustained by the Corporation due to misconduct, negligence, or breach of fiduciary duty. These corrective actions shall be documented in the Board minutes and implemented promptly to restore compliance with all legal and fiduciary obligations.
