Under terms of the Agreement, the Organization purchased a whole life policy on Founder's life, with Island Institute as a named beneficiary and with full payment on the policy to be made over ten years, after which time the policy and associated cash surrender value would be transferred to Founder. Policy payments were made as required over the 10-year period, and during the fiscal year ended June 30, 2025, the transfer of the policy and associated cash surrender value to Founder was completed, fulfilling the terms of the Agreement. There was no cash exchanged as part of the transfer of the policy to Founder. The removal of the policy's cash surrender value carried as an asset on the Organizations financial records and with a balance of $556,518 at time of transfer, is reflected as non-operating compensation expense. As a part of this process, the organization decided to close the organization's retail store, Archipelago, at the end of calendar year 2025 and wind down the Teaching and Learning Collaborative. The latter program was subsequently transitioned to a partner organization. Form 990, Part VI, Section A, line 4 During the year, the Organization amended their bylaws to update the mission statement, and change the minimum number of Board Members from 15 to 12. Form 990, Part VI, Section B, line 11b The Board of Trustees has delegated the detail review of the draft Form 990 prepared by independent accountants to their Finance committee. The Finance Committee and management reviews the 990, and prior to submission, a public inspection copy of the Form 990 is provided to the entire Board of Trustees. Form 990, Part VI, Section B, line 12c The organization monitors compliance with its conflict of interest policy through a formal annual conflict of interest statement required by all trustees and ongoing communication with members of the board of trustees throughout the year. They meet annually with the president and review their formal evaluation. The organization conducts a market study of compensation every 2 to 3 years of employee compensation, including for key employees.
