The Board approves the candidates and awards the scholarships to those students to help with tuition and other college expenses. Form 990, Part I, Line 1 Since its inception, the Foundation continues to contribute to the quality, vigor, and fairness of journalism in the state through scholarships, grants, stipends, and other programs. With the support of donors, these services are provided to preserve strong journalism and newspapers in Michigan. Form 990, Part VI, Section A, line 6 The corporation is organized upon a stock-share basis. The total number of shares of stock which the corporation shall issue is one share of the par value of $100.00 per share. All of the stock of the corporation shall be issued to the Michigan Press Association. Form 990, Part VI, Section A, line 7a The affairs of the Foundation shall be directed, controlled and managed by a Board of Trustees, composed of no fewer than seven (7) and no more than nineteen (19) Trustees. Trustees shall include past presidents of the Michigan Press Association or Michigan Newspapers Inc., the MPA president-elect, and other individuals committed to the Foundation mission. Board composition shall be arranged so that at all times a majority of the board consists of past MPA presidents, past MNI presidents and the president-elect of the MPA. Immediate past presidents of the Michigan Press Association and Michigan Newspapers Inc., shall be automatically nominated to the Foundation board. Members of the Board of Trustees shall serve without compensation of any kind. Form 990, Part VI, Section B, line 11b The 990 is received by the Executive Director of the Michigan Press Association who reviews the return for accuracy. Upon the Executive Director's approval, the 990 is made available to the Board of Directors. After any concerns presented by the Board are addressed, the Executive Director signs and files the return. Form 990, Part VI, Section B, line 12c All directors are required to disclose any conflicts of interest and to notify the Board of any conflicts that may arise throughout the year. In addition, all directors are required to sign an annual agreement attesting to the conflict of interest policy. Form 990, Part VI, Section C, line 19 All information is available upon request. Form 990 is also posted annually on Guidestar's website. The 990 is public information through the Michigan Attorney General's Office.
