Conflict of interest policy compliance Part VI line 12c Each Board member is required to attest that they have received, read, and understood the current versions of the Energy Education Councils Conflict of Interest Policy. Board members are required to disclose all material direct & indirect personal interest in a proposed transaction involving the Council. Any board member who has a conflict of interest must abstain from voting or using his or her personal influence and must not be present when the matter is discussed by the board. Determination of whether a director failed to comply with the Councils policies will be made by the Baord, if a director is found to have fialed to comply with Councils policies,, regarding conflicets of interest,except as provided otherwise in the policies, the Board shall disqualify & remove the member. CEO executive director top management comp Part VI line 15a The Chairman of the Board of Directors circulates a review document asking all board members to provide feedback on performance for the preceding calander year of the Councils Executive Director. The information is compiled and provided to the Head of the University of IL Extension, who in consultation with the Board recommends a salary adjustment accordingly. Information on compensation on non-profit executives with similar scope of duties & responsibilities is available. The Director can go to the Board for salary adjustments if they so choose, it is up to the discretion of the Board of Directors and the University of Il Extnsion to approve salary amounts. If the Director is seeking to increase salaries beyond the budgeted amounts then they must go to the full board to get approval.
