EIN: 23-7109184 Tax Year: November 1 2024 through October 31 2025 Reasonable Cause Statement for Late Filing of Form 990-EZ Mortgage Bankers Association of the Carolinas Inc. MBAC respectfully requests relief from any penalty associated with the late filing not filing an extension on March 15 2026 of its Form 990-EZ for the tax year ended October 31 2025. The return will be electronically filed by tomorrow September 15 2026. During the period following the close of the organizations fiscal year MBAC experienced a transition in management and organizational leadership from an in-house accountant to a management company Confluent Strategies. Confluent Strategies thought the prior filing CPA filed an extension on behalf of MBAC. As a result the organization did not timely file its Form 990-EZ and did not file Form 8868 requesting an extension. The failure to file timely was not due to willful neglect or an intentional disregard of MBACs federal filing obligations. Once the current management team became aware that the return had not been filed and that an extension had not been requested it immediately began gathering the organizations accounting records prior-year return governing information and other documentation necessary to complete an accurate return and file it as promptly as possible. MBAC has also taken corrective action to prevent a recurrence. Responsibility for annual federal and state compliance filings has been specifically assigned filing deadlines will be maintained on the organizations compliance calendar and management will verify completion of required filings or extensions before each applicable due date. Based on these circumstances MBAC respectfully requests that the Internal Revenue Service determine that the late filing was due to reasonable cause and not willful neglect and that any late-filing penalty under Internal Revenue Code section 6652c be waived.
