A new Executive Director assumed responsibility for the organization and reasonably believed that all required tax filings, including Form 990, had been properly completed and submitted by the organization's previous accounting personnel. The new Executive Director was not aware that the Form 990 had not been filed and had no indication that any filing requirement remained outstanding. The failure to timely file was not due to willful neglect but was the result of an inadvertent oversight during the transition of administrative and financial responsibilities. The organization relied in good faith on the understanding that prior accounting personnel had completed all required filings. Upon becoming aware of the missed filing requirement, the organization acted promptly to correct the matter and ensure that the Form 990 was filed. IEC Foundation for Training, Inc. has consistently sought to comply with all federal filing requirements and has taken steps to strengthen its internal processes and oversight procedures to prevent a similar situation from occurring in the future. These measures include improved tracking of filing deadlines, enhanced communication regarding compliance responsibilities, and increased review of filing obligations during personnel transitions. Given the circumstances, the organization respectfully submits that it exercised ordinary business care and prudence and that the late filing was the result of reasonable cause rather than willful neglect.
