Only Regular Members in good standing may vote and each is entitled to one vote. Upon dissolution the Regular Members determine the disposition of remaining assets., Each Regular Member in good standing has one vote| Part VI, Section A, Line 8b The Secretary records minutes of all meetings of the Board of Directors and of the Membership contemporaneously as required by Articles IV and V of the organizations Constitution and retains them in the organizations records. The organization has no committees with authority to act on behalf of the governing body. Part VI, Section B, Line 12c Board members disclose potential conflicts on joining and annually thereafter and are under a continuing obligation to disclose any conflict as soon as it becomes known. Disclosure statements go to the board chair and are filed with the organizations corporate records by the Secretary who brings any potential conflict to the Board. The organization does not act on a transaction until the disinterested directors approve it after finding it fair reasonable and in the organizations best interests; the interested party leaves the room does not vote and is not counted toward quorum or majority. The minutes record the disclosure the vote and any abstention. If a conflict is discovered after the fact the Board gives the person an opportunity to explain and then takes such corrective action as it determines appropriate. Part VI, Section C, Line 19 The organization makes its governing documents conflict of interest policy and financial statements available to the public upon request. In addition under Article VII of its Constitution the President and Treasurer present a verified annual financial report at the Annual Meeting of the Members and under Article V the Secretary provides a copy of the Constitution to each Member Director Officer and Committee Member.
