<ReasonableCauseExplanation documentId="ReasonableCauseExplanation" documentName="ReasonableCauseExplanation">
<ExplanationTxt>Farr's Best respectfully submits this statement to explain the circumstances that resulted in the late filing of its Form 990 EZ. Historically, Farr's Best qualified to file Form 990 N. During the period covered by this return, Farr's Best's 5th Annual Walk, Run & Ride achieved its most successful year to date, with participation increasing approximately tenfold over the prior year and fundraising reaching record levels. This unprecedented growth significantly increased the organization's revenue and overall financial activity, resulting in Farr's Best no longer qualifying to file Form 990 N. As a result, the organization was required to prepare and file Form 990 EZ for the first time. The transition from Form 990 N to Form 990 EZ required substantially more detailed financial and operational reporting than Farr's Best had previously been required to provide. This included properly classifying revenue and expenses, compiling balance sheet information, reconciling fundraising activity, and preparing detailed descriptions of the organization's program service accomplishments. Because Farr's Best had never previously prepared Form 990 EZ, additional time was required to organize, reconcile, review, and accurately report the necessary information. The substantial growth of the Walk, Run & Ride also required significantly more staff and volunteer involvement than in prior years. The organization was responsible for coordinating a much larger volume of participants and volunteers, managing expanded sponsor and vendor relationships, overseeing increasingly complex event logistics, and reconciling a substantially greater volume of financial activity. While Farr's Best was working to complete the more extensive financial reconciliation and reporting required for its first Form 990 EZ, the organization was also entering the most intensive planning period for its established annual program event held each June. Preparation for the June event begins several months in advance and requires substantial staff and volunteer involvement, including securing sponsors and vendors, coordinating participants and volunteers, developing program content, managing communications, and overseeing event logistics. These time sensitive responsibilities substantially reduced the staff and volunteer capacity available to complete the organization's financial reconciliation and finalize Form 990 EZ by the filing deadline. The organization's ability to complete the return was further affected by the launch of a new fundraising event in February 2026, several months before the filing deadline. Because this was the inaugural year of the event, Farr's Best had no prior operating history, established procedures, or planning framework upon which to rely. Developing and producing the new fundraiser required additional staff and volunteer time for sponsor and vendor coordination, participant management, event logistics, financial administration, and post event reconciliation. Accordingly, during the months leading up to the filing deadline, Farr's Best was simultaneously completing the substantially more detailed financial reporting associated with its first Form 990 EZ, managing the administrative consequences of significant growth in its Walk, Run & Ride program, producing a new February fundraising event, and preparing for its established annual June program event. The late filing resulted from the unexpected administrative demands associated with the organization's rapid growth, the increased complexity and volume of its financial activity, the transition from Form 990 N to Form 990 EZ, and the substantial staff and volunteer demands associated with the organization's event schedule during the filing period. The delay was not due to willful neglect or intentional disregard of the organization's filing obligations. Farr's Best made a good faith effort to compile complete and accurate information and filed the return as soon as the required financial records could be properly organized, reconciled, and reviewed. To prevent a recurrence, Farr's Best has implemented a formal tax filing and compliance calendar that accounts for its annual event schedule and provides sufficient time for financial reconciliation and return preparation. The organization has also engaged additional bookkeeping support, strengthened its financial recordkeeping procedures, and established processes for reviewing its filing requirements as the organization's revenue and activities continue to increase. Farr's Best respectfully requests that the Internal Revenue Service consider these facts and circumstances to constitute reasonable cause and waive any penalties associated with the late filing of its Form 990 EZ.</ExplanationTxt>
