Committees may be only staffed by active Regular Members. The Nominating Committee shall consist of the President, President-Elect, Immediate Past President, and a Charter Member. If a Charter Member is unavailable the Board can choose a TPG payroll member in good standing as a replacement. Form 990, Part VI, Section A, line 3 The organization delegated control over the management duties to its contracted management company - Meeting Expectations an Etherio Company (Etherio). Etherion is an external partner that manages the day-to-day operations and annual conference planning for the association. No compensation was provided to any of the officers of the filing organization. Form 990, Part VI, Section A, line 6 The Payroll Group has two types of memberships: 1 - Payroll Membership for service bureau owners and 2 - Associate Membership for those who sell goods and services to payroll providers. Each Payroll Member is entitled to one vote on each matter submitted to a vote of the members. Associate Members shall have no voting privileges. Form 990, Part VI, Section A, line 7a Payroll Members have voting rights and are entitled to one vote on matters submitted to the membership. Payroll Members elect members of the governing body at the annual conference. Board members are elected for 2 year terms. Any vacancy in any other Officer position or Chairperson position shall be filled by appointment by the President until such time as a meeting can be held and a formal vote taken.
