Part VI, line 12c Conflict of Interest Policy KEYS maintains a conflict of interest policy requiring annual disclosure by officers, directors, and key employees. Any potential conflicts are reviewed and addressed in accordance with organizational policy to ensure independence and transparency in decision-making. Part VI, line 15a The Executive Director's compensation is reviewed and approved by the Board of Directors. The review process includes consideration of the Executive Director's duties and responsibilities, organizational performance, budgetary considerations, and compensation information for comparable positions at similarly situated organizations when available. The Board discusses and approves the Executive Director's compensation in advance of implementation. The approval process is contemporaneously documented in the meeting minutes and maintained as part of the organization's official records. Compensation for other key employees and officers, when applicable, is reviewed and approved by management and/or the Board using similar factors, including job responsibilities, organizational needs, qualifications, performance, and available compensation data for comparable positions. Part VI, line 15b The Executive Director periodically reviews the compensation of other officers and key employees and may recommend compensation adjustments based on factors such as job responsibilities, qualifications, experience, performance, market conditions, and the organization's financial resources. Part VI, line 19 Availability of Documents The organization's governing documents, conflict of interest policy, and financial statements are available upon request and may be provided to the public in accordance with applicable regulations. Part XII, line 3b The organization did not complete the required independent financial statement audit(s) within the prescribed timeframe due to administrative and operational challenges, including staffing transitions, resource constraints, and delays in obtaining information necessary to complete the audits.
