Approximately two months prior to filing this Form 990 with the IRS, Director Fiona Chen obtained this Form 990 from the CPA, reviewed it herself to ensure accuracy of the information included, and circulated it to the full Board of Directors which consists of three Directors total for review via email. Ms. Chen instructed each member of the Board of Directors to review this Form 990 and respond to her if such member had any questions or concerns regarding any information included. Ms. Chen further reminded each member that, per ISORs Bylaws, he or she was entitled to request any of ISORs tax or financial records for reference or assistance in reviewing this Form 990. Each member subsequently reviewed this Form 990 but none raised any questions or concerns regarding its contents. Accordingly, Ms. Chen instructed the CPA to file this Form 990. Form 990, Part VI, Section B, Line 15a b ISORs Board of Directors consists of three individuals. Per ISORs Bylaws, members of the Board of Directors may not receive any compensation in connection with the services they provide to ISOR in their capacity as members of the Board of Directors. ISOR has three Officer positions President, Treasurer, and Clerk. During the past fiscal years, Jing X. Kang, MD, PhD, Dr. Kang, served in each of these three Officer positions. ISOR did not have a CEO, Executive Director, or other management official aside from Dr. Kang. ISOR did not pay any salary or compensation, of any kind, to Dr. Kang during the past fiscal years, nor has it ever paid any salary or compensation to Dr. Kang in connection with the services that he has provided as an Officer of ISOR, in fact, has never paid any salary or compensation to any individual in connection with any services rendered on behalf of ISOR. Accordingly, ISOR has never had a need to undertake any process with respect to any compensation. If/When ISOR ever pays any salary or compensation to any individual in the future, it will undertake a process to ensure that such salary or compensation is reasonable and appropriate pursuant to the rules and guidelines of the IRS and the Massachusetts Attorney Generals Office. Form 990, Part VI, Section C, Line 19 ISOR makes its governing documents, conflict of interest policy, and financial statements available to the public to the extent required by Federal and Massachusetts law. ISORs Articles of Organization and Annual Reports are publicly available on the website of the Corporations Division of the Secretary of the Commonwealth of Massachusetts. ISOR has registered itself as a public charity with the Non-Profit Organization/Public Charities Division of the Massachusetts Attorney Generals Office, the AG. ISORs Bylaws, which include ISORs conflict of interest policy, is available on the AGs website. ISORs annual Form PC filings, which include copies of ISORs Form 990s and applicable financial statements for the same year, will also be available on the AGs website.
