Form 990, Part VI, Section A, Line 4 The Board of Directors adopted new By-Laws. The new By-Laws establish officers and duties, term limits, a minimum and maximum for Board size, and generally update the provisions. Form 990, Part VI, Section B, Line 11b Financial information is regularly provided to the Board. The information for the 990 and the 990 are shared with the Board through email. Questions are directed to the Treasurer and discussed at subsequent Board meetings. Form 990, Part VI, Section C, Line 19 All organizational documents are available to the public upon request. Form 990, Part XII, Line 1 Previous returns were labeled as accrual. In 2023, we changed to cash accounting because it better reflects the bookkeeping we do and provides the most accurate reports to management and the Board. Open Door Immigration Services (ODIS) apologizes for not filing our 990 in a timely manner. ODIS is a volunteer driven organization. In 2024, when this would have been filed, the organization went through a series of changes as a result of poor management and oversight by the Board. This includes the previous executive director and several Board members leaving the organization, as well as the interim executive director being discharged. As a result, organizational history, knowledge, and records were lost. In 2024, the remaining Board established new organizational leadership. New Board members were intentionally recruited with specific skills and abilities. The Board was expanded to nine members. The Board began meeting monthly to provide direct oversight. A recommitment to the mission was made. Once we became aware that the 2023 990 was not filed, we immediately began to work on reconstituting the financial history and data necessary to complete the filing. This is during a time when due to financial constraints, we have reduced staffing to the minimum and are relying on volunteers to do the work of the organization. We could not afford the previous CPA. It also took time to ensure the data is correct. During this process, we also documented the need for a variety of fiscal policies and procedures and have begun implementing them to ensure a situation similar to what happened at the end of 2023 and into 2024 does not occur again. To that end, we did a paper filing of the 2023 990, which was received by the IRS November 24, 2025. When collecting the IRS form and instructions for the 990, we did not see that it had to be filed electronically. As a result, the paper 990 was returned to us. The date on the letter was December 19, 2025 and we received it January 2, 2026. We are attempting to rectify all of these mistakes and get our organization back in compliance and current. We ask that the IRS exercise understanding in this matter and not apply any fines. Our organization relies on individual donations and small grants to provide our services in the community. We have reduced our overhead as much as possible. It would be very difficult for us to also pay fines. Thank you so much for your understanding and attention to this matter.
