The entire Board had designated the task of reviewing the Form 990 to the officers of the Executive Committee due to their expertise, particularly of the Board Treasurer. Form 990, Part VI, Section B, Line 12c Every new Board member is provided with the conflict of interest policy for an initial assessment of any potential conflicts. Board members are periodically reminded of the policy, and if a situation arises that could be a potential conflict of interest, we use a form that our auditors helped us develop to disclose the potential conflict. The potential conflict is then brought to the entire Board, discussed, and a vote is taken to determine whether or not to proceed with the business relationship. The discussion and vote are documented in the meeting minutes. In addition, the Board typically reviews year-end agency statistics and performace in June along with the budget where any salary increases for staff are usually approved. Periodically, salaries are compared with relevent data, including the Colorado Nonprofit Resources' annual compensation survey.
