Form 990 governing body review Part VI line 11 The Treasurer of the Organization distributes a pdf copy of the 990 to all Board members for review and comment prior to the return being filed. Conflict of interest policy compliance Part VI line 12c IACP holds a yearly board retreat in which all board members participate in the review of the conflict-of-interest policy and discuss any potential conflicts. During the orientation for new board members, the conflict-of-interest policy is discussed in depth and new members sign and submit the form at the conclusion of the orientation. CEO executive director top management comp Part VI line 15a IACP has a compensation policy in place for officers which is reviewed bi-annually by The Governance Committee. The review includes a written survey completed by each board member, self-evaluation completed by the officer, teleconference between the committee and key board members, in-person meetings between the committee and the officer, and an executive session with the committee and board as a whole without the officer present. The analysis of officer salary includes acessing national salary surveys, research of salary structures for comparable positions in the field, and job performance evaluation and measured deliverables of the officer.
