Form 990, Part VI, Section A, Line 7a Any person actively interested in furthering the objectives of the BLAZERS may become a regular member upon election as hereinafter provided. The secretary shall maintain the roll of membership to quality voting members. Only regular members in good standing are eligible to vote at the annual meeting. All Officers, Board members, Committee Members, Managers, and other elected or appointed officials must be active Regular Members in good standing. Form 990, Part VI, Section A, Line 7b The management of the property and the affairs shall be vested in the Board of Directors. The number of Directors shall be no less than five (5) nor more than ten (10). The Directors shall include all team managers plus elected officers. Section 2. Vacancies: If any vacancy occurs with the elected Directors, it may be filled by a majority vote of the remaining Directors at any regular meeting or at any special meeting called for that purpose. Section 3. Meeting, Notice, and Quorum: Regular meeting of the Board shall be held immediately following the annual election and on such days thereafter as shall be determined by the Board. Notice of each meeting shall be given by the Secretary to each Director either by mail at least three (3) days before the time appointed for the meeting to the last recorded address of each Director, or by telephone or personal notice twenty-four hours preceding the meeting. Five (5) Board members of the Board shall constitute a quorum for the transaction of the business. Section 4. Duties and Powers: The Board shall have the power to appoint such standing committees as it shall determine and to the delegate such powers to them as the Board shall deem advisable and which it may properly delegate. Form 990, Part VI, Section B, Line 11b The Board of Directors reviews financial information monthly and the tax return is provided for review to the audit committee and the board. The organization holds monthly board meetings, and a copy of this Form 990 was circulated amongst the board members for review before filing. Form 990, Part VI, Section B, Line 15 No officers or board members are compensated for services to the organization. Form 990, Part VI, Section C, Line 19 The organization holds an annual meeting where a financial report is given by the board of directors, and financial statements are made available to the public in attendance. Other governing documents, conflict of interest policy, and interim financial statements are available upon request. Filing was late by one day due to technical issue preventing the submission of data for the tax year in question.
