In addition, the Executive Director shall be an ex-officio, non-voting member of the Executive Committee. The Executive Committee shall have authority to act for the Board of Directors on all matters so long as the Executive Committee determines that it would imprudent to wait for the next board meeting to take such action. With respect to any action taken on behalf of the Board, (1) the Executive Committee is required to report the acction for the Board of Directors within 10 days and (2) the Board of Directors must ratify the action at the next board meeting.
