The school district notifies the Foundation as to where funds are needed and, on an ongoing basis, the Board of Directors of the Foundation review the needs of the school district. Governing body decisions Part VI line 7b The Executive Committee, comprised of the President, the Vice President and the Treasurer, is empowered to act when time does not allow for a full board meeting and such other times and for such other purposes as may be approved by the Board of Directors. Actions taken by the Executive Committee require unanimity among its members. The Executive Committee is empowered to commit no more than $5,000 for any one purpose. Form 990 governing body review Part VI line 11 The 990 is distributed to all members of the Board, the Treasurer reviews the Form 990 prior to signing the authorization for electronic filing of Form 990. Conflict of interest policy compliance Part VI line 12c The Foundation requires members of the Board to annually sign the conflict of interest policy. CEO executive director top management comp Part VI line 15a Compensation is reviewed on an annual basis. The review process starts with the President seeking input from the Board of Directors and including that information, if any, into a draft document that is reviewed by the Executive Committee. The Board is informed in executive session about the final review. Governing documents etc available to public Part VI line 19 The Foundations principal governing documents, including the Articles of Incorporation and By-Laws, are filed with the Massachusetts Secretary of State and therefore, are available to the public. The Foundations financial statements are available to the public on the Massachusetts Attorney General website. Other documents are available upon request.
