All matters are discussed at regular board meetings. Form 990, Part VI, Section B, line 11b Form 990 was reviewed by the executive director prior to filing. A copy of the Form 990 was emailed to the board members. Form 990, Part VI, Section B, line 12c The board meets on a regular basis and has emergency or special sessions as needed. Policies and procedures are reviewed at least annually and all board members sign off on any conflict of interest issues. TLA has recently undergone and received accreditation which is an additional safety measure to ensure that they are meeting the goals of their stated mission and do not violate their policies or conflict of interest requirements. Form 990, Part VI, Section C, line 19 All public records are available upon request at our location during regular business hours. Transformative Leadership Academy is a non-public school formed in 2019. We do have a board of directors and an executive director. The board of directors is comprised of volunteers from the community at large. The executive director oversees the operations and teachers and staff are hired for the operation. We have a local CPA that we have helping us with the tax return. The accounting is done by TLA in house. The CPA has been behind on the tax filings beginning with the year ended August 2021 due to volume of work, lack of staff and covid. See attached statement from the CPA. There is only 1 local CPA firm in our small community who has helped us pro-bono and paid the late filing penalties. Reference-Late Penalties AbatementPer CPAWe have been involved with TLA starting with the origianl filing for not for profit corporation and not for profit determination with the IRS. We have provided our services pro-bono knowing there was a need in our community. We have continued in our role and have prepared the annual tax returns for TLA, but not without shortcomings.We are the only local CPA firm in our small city and we service other neighboring cities that do not have a CPA firm. We are located in the Permian Basin of West Texas and the oil field has had tremendous activity. The CPA firms of the nearest larger cities of Odessa and Midland TX are all extremely busy. In July 2022 as I was completing the tax return for year ending 8-31-2021 I became ill with Covid. My wife followed me with Covid. Our firm was already stressed from the workload and additional personnel and families also got Covid. We faced huge backlogs of work. In addition to the Covid issues, our staff turnover became a severe problem. We were forced to have to make decisions to help us get out of the situation we were in regarding workload and staffing. We attempted to hire additional staff to no avail. We decided not to accept any additional clients. In addition, we terminated our audit practice which constituted about thirty percent of our business. We did that and the audit staff have transitioned to tax to help us fix that problem. We are beginning to see the light at the end of the tunnel so to speak. If you do a little research you will find that CPAs are an aging breed with most nearing retirement age. We fit that mold. My partner is 65 years of age and I am 75 years of age. Yet, we are working like we did many years ago. Currently, new college graduates are not choosing accounting. Hopefully that trend will change. We have not had any success hiring accountants. This firm was formed in 1950 and I came to work here in January 1974. I have never experienced the problems we have faced in the last 3 years. We take our work seriously and always will. Please take all this into consideration with regards to penalty assessments.
