The organization has established a fund to relieve the burdens of government through the development of various solutions to the City's workforce housing challenges. The organization is still developing its specific plans for the fund but anticipates activities such as acquisition of land for workforce housing projects, loans or other financing to stimulate development, and/or the direct development of workforce housing. In addition to the other means of fundraising indicated in its Form 1023, the organization will also solicit grants from foundations for this and any future charitable programs. Form 990, Part VI, Section A, line 4 During 2023, Build Galveston adopted Amended and Restated Bylaws, which included the following significant changes: 1. The organization's exempt purposes were amended to state the following: "The Corporation is formed exclusively for charitable and educational purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended, (the "Code") and will be operated solely to (i) be a supporting organization (as defined in Section 509(a)(3) of the Code) of Vision Galveston for so long as Vision Galveston continues to be an organization exempt from federal income tax under Section 501(c)(3) of the Code and specifically described in Section 509(a)(1) or 509(a)(2) of the Code, (ii) support the efforts of Vision Galveston to implement its "BUILD Galveston" strategic initiative, (iii) benefit and support Vision Galveston by engaging in activities that relieve the burdens of government and/or promote education through improved access to workforce housing within the City of Galveston, (iv) hold assets for the benefit of, and distribute funds to, Vision Galveston as needed, and (v) do all things necessary for and incidental to the accomplishment of the purposes and goals of the Corporation. The Corporation shall, at all times, be operated, supervised, or controlled by Vision Galveston so as to qualify the Corporation as a Type I supporting organization under Section 509(a)(3) of the Code." 2. The maximum number of directors was raised from eleven (11) to seventeen (17). 3. The President's duties were amended to explicitly give the President general supervisory authority over the business and affairs of the organization and to authorize the President to sign contractual and financial documents on behalf of the organization. 4. A provision describing the Vice President's duties was added, including the power to perform the duties of the President when the President is absent or unable to or has refused to act. 5. A new provision requires the Treasurer to secure a bond if deemed necessary by the Board. 6. The office of Past President was established, with general duties of assisting the President, conducting board training, and providing historical continuity as needed. 7. A more detailed description of the role of the Executive Director was added to the Bylaws. 8. A notice provision was added that requires at least two (2) days' written notice to be given of the intention to alter, amend, repeal, replace, or restate the Bylaws. Form 990, Part VI, Section A, line 7a Build Galveston's supported organization, Vision Galveston, appoints a majority of its board members. Vision Galveston's Executive Director is an ex-officio voting member of the Build Galveston board. Form 990, Part VI, Section B, line 11b A copy of Form 990 is distributed to the board for review and approval prior to filing with the IRS. Form 990, Part VI, Section B, line 12c All directors and officers are required to comply with the organization's conflict of interest policy. Potential conflicts of interest must be disclosed to the board. The governance committee determines whether an actual conflict of interest exists.
