Upon approval of TDCs President the IRS Form 990 is distributed to all members of the governing board prior to filing. Part VI, Line 12c A Conflict of Interest policy was approved by the Board of Directors as of October 23 2009 requiring all officers and directors of the organization to sign a disclosure form each year reporting any conflicts of interest. Directors and officers completed a disclosure form at the November 11 2024 Board of Director meeting. Whenever a director or officer has a financial or person interest in any matter coming before the Board of Directors the affected person shall A full disclose the nature of the interest and B withdraw from the discussion lobbying and voting on the matter. Any transaction or vote involving a potential conflict of interest shall be approved only when a majority of disinterested directors determine that it is in the best interest of the Corporation to do so. The minutes of the meeting at which such votes are taken shall record such disclosures.
