NAGHPC is subject to income tax on its unrelated business income under the IRC. NAGHPC had no unrelated business income for the year ended December 31, 2024. For the year ended December 31, 2024, NAGHPC has documented its consideration of FASB ASC 740-10, Income Taxes, that provides guidance for reporting uncertainty in income taxes and has determined that no material uncertain tax positions qualify for either recognition or disclosure in the financial statements. Management duties delegation Part VI line 3 The management of the Organization has been outsourced to an independent company. Members or stockholder classes and rights Part VI line 6 The Organization has members that pay dues. Member election for additional members Part VI line 7a Members of the Board of Directors were selected by each member utility as part of the benefit of their membership level benefits. Not all membership levels allow for a board seat. Board officers (listed above) are elected and voted on by the Board of Directors. Governing body decisions Part VI line 7b The Board of Directors is the governing body and is made up of NAGHPC members. The Board of Directors is led by the Board Officers (listed above).
