The Executive Committee has the authority under LSFM's By-Laws to act on behalf of the Board of Directors. Form 990, Part VI, Section B, line 11b Form 990 is reviewed by the organization's Controller, CEO, Board Chair, and Finance & Audit Committee Chair for review before filing with the IRS. Form 990, Part VI, Section B, line 12c Directors sign the conflict of interest agreement annually at the first quarterly Board meeting. The Executive Committee reviews the conflict of interest form responses annually and follows the policy guidelines for enforcement when conflicts exist. Form 990, Part VI, Section B, line 15 The compensation of the President/CEO and other officers is determined by the Board. Members of the Board at LSFM review salaries of similar museums when deciding on compensation for the CEO. Additionally, the success of the museum and progress on its strategic plan are considered in the process of adjusting the CEO's salary.
