Tax-exempt organizations could be required to record an obligation for income taxes as the result of a tax position they have historically taken on various tax exposure items including unrelated business income or tax status. Under guidance issued by the Financial Accounting Standards Board (FASB), assets and liabilities are established for uncertain tax positions taken or positions expected to be taken in income tax returns when such positions are judged to not meet the "more-likely-than-not" threshold, based upon the technical merits of the position. The Organization has evaluated the position taken on its filed tax returns. The Organization has concluded no uncertain income tax positions exist at December 31, 2024. Form 990, Part VI, Section A, line 4 The Organization revised the bylaws in February 2024 in the following significant ways: 1. The revised bylaws state that the Board of Directors shall be composed of not less than nine (9), nor more than twenty-five (25) Directors. The previous bylaws stated that the Board of Directors shall be composed of not less than nine (9), nor more than thirteen (13) Directors. 2. The revised bylaws state that the Treasurer shall be responsible for making sure adequate records are kept, that accurate and timely reports are delivered to the Board, and the Organization's finances are audited annually. The previous bylaws stated that the Treasurer shall be charged with custody of all monies, funds, property, and securities of the Organization. Accordingly, the latest bylaws removed these responsibilities from the Treasurer's role. 3. The revised bylaws state that any member of the Board of Directors who misses three (3) or more meetings in a calendar year, or three (3) consecutive meetings, will be automatically deemed to have resigned from the Board. The previous bylaws stated that a member of the Board of Directors who missed five (5) or more meetings in a calendar year, or three (3) consecutive meetings, would automatically be deemed to have resigned from the Board. 4. The article on Directors and Officers Reimbursement in the revised bylaws was significantly expanded from the previous bylaws to detail specific circumstances where Directors and Officer may be reimbursed for expenses incurred in performance of services or duties for the Organization. However, the revised bylaws still maintain that Directors and Officers shall not receive any stated salary for their services as such. Form 990, Part VI, Section B, line 11b The Form 990 is prepared by an independent outside accounting firm with assistance from staff members of the filing organization. The complete Form 990 is distributed to the full Board for comments and questions before filing with the IRS. Form 990, Part VI, Section B, line 12c All employees and directors of Health Access Network receive a copy of our standards of conduct policy annually and are required to sign two acknowledgements which stipulate that 1) the employee or director is committed to complying with the standards of conduct and 2) the employee or director has disclosed any conflicts of interest or certifies that none exist. The compliance officer for Health Access Network reviews all internal and external contracts to ensure that there are no conflicts of interest. Form 990, Part VI, Section B, line 15 A salary scale, created by a third party compensation specialist and approved by the Board of Directors, is utilized to determine officer compensation. The CEO's compensation is set by the Board while the CFO's salary is set by the CEO utilizing the approved salary scale. Form 990, Part VI, Section C, line 19 The organization made its governing documents, conflict of interest policy, and financial statements available upon request. Form 990, Part XII, Line 2c: The audit process did not change from the prior year.
