Schedule E, Part I, Line 6 The Organization receives Financial Aid Scholarships through the Arizona Department of Education's Empowerment Scholarship Account (ESA). Form 990, Part V, Line 7g The organization did NOT receive a contribution of qualified intellectual property. Therefore, no Form 8899 was required to be filed. Form 990, Part V, Line 7h The organization did NOT receive a contribution of cars, boats, airplanes, or other vehicles. Therefore, no Form 1098-C was required to be filed. Form 990, Part VI, Section A, Line 1a During the organization's fiscal year the Board was split into two categories: Executive Board and Ancillary Board. The Executive Board (with 3 voting directors) was given more general responsibilities for the general business and strategic direction, while the Ancillary Board (with 6 non-voting directors) was given more specific and tactical responsibilities. Form 990, Part VI, Section A, Line 1b On the Ancillary Board, Alex Trigonis and Alexandra Trigonis are husband and wife; they are not included in Line 1b because the Ancillary Board consists of non-voting directors. Form 990, Part VI, Section A, Line 4 A provision was added for the Members to approve all hiring of teachers, administrators, and staff. The Board of Directors was split into two categories: Executive and Ancillary. The Executive Board is responsible for the overall governance and business of the organization. The Ancillary Board is responsible for supporting the strategic direction of the Members and Executive Board in a tactical manner, leveraging special skills and talents, especially in the areas of fundraising, marketing, special events, and facilities management. Form 990, Part VI, Section A, Line 6 The Organization has Members and no stockholders. Financial decisions or transactions in excess of $100,000 require approval from the Members; Members also must approve any amendments to the governing documents of the Organization. Form 990, Part VI, Section A, Line 7a The Organization's Members have the power to elect or appoint Directors. Form 990, Part VI, Section A, Line 7b Financial decisions or transactions in excess of $100,000 require approval from the Members. Hiring decisions require approval from the Members. Form 990, Part VI, Section B, Line 11b Form 990 is prepared by an accountant along with the financial statements for the Organization and reviewed by the President and at least one Member. Form 990 is then distributed to each of the Executive Directors and Officers of the Organization for their review and approval. The President or Treasurer then compiles any comments from the Executive Directors and Officers and updates Form 990 accordingly. The updated Form 990 is then sent to the Organization's Treasurer or President for final review, approval and signature. A copy of the completed Form 990 is kept by the Treasurer for the Organization's records. Form 990, Part VI, Section B, Line 15 Annual salaries are reviewed and approved by the Board of Directors at the Annual Meeting as part of the Annual Budget Review. Any bonuses or other compensation recommended by the Organization's Principal or any Officer or Director are also reviewed and approved by the Board of Directors. The Board also conducts annual research of the compensation for Principals and teachers to present at the annual meeting. The President and CEO serves without compensation. Form 990, Part VI, Section C, Line 19 The Articles of Incorporation for the Organization, including the known place of business, Statutory Agent's address and contact information are publicly available through the Arizona Corporation Commission's website at azcc.gov. The Organization's other governing documents, including the Bylaws and the conflict of interest policy are available upon request. The elected Treasurer resigned due to health reasons in December of 2024, which left the Organization without a Treasurer for several months until a new Treasurer was found. (More information on the health issues are available upon request, but confidential for this filing). During this time, the Form 990 filing was due. Unfortunately, the former Treasurer did not file the extension to the Form 990 filing, and the Organization was under the impression that it had more time to complete the filing. Going forward, controls have been put into place to make sure that the Form 990 or an extension is filed by December 15 each year. We kindly ask that the IRS waive the late filing penalty due to these health issues and the current financial status of the Organization.
