The draft is reviewed and approved by the Executive Director and Financial Manager before being filed. Also, the draft is furnished to the organizations Board of Directors before the Form 990 is filed. Pt VI, Line 12c All employees and board members are covered by the conflict of interest policy. All individuals covered by the policy are informed to notify the Executive Director should any conflicts of interest arise. The Executive Director will review the nature of the conflict of interest and inform the Board of Directors. The board members would review the conflict of interest. In the event a conflict of interest exists, the person involved is immediately removed from participating in deliberations and decisions regarding the affected transactions. Pt VI, Line 15a The salary of the Executive Director is reviewed and approved by the Board of Directors based on performance and historical amounts.
