This one class is considered to be a general membership class. All members may elect trustees to the Board, approve bylaw amendments and vote on matters submitted to the vote of the membership. Pt VI, Line 7a Up to six (6) parent/guardian members of the Board of Trustees may be elected by The Montessori Academys general membership. Pt VI, Line 7b Each member of The Montessori Academy shall be entitled to one vote on each matter submitted by the Board of Trustees to the vote of the general membership class. Pt VI, Line 11b The school CPA scans and securely transmits the Form 990 electronically to each member of the Board of Trustees for review before the Form 990 is filed with the IRS. All voting members of the Board of Trustees and the Head of School may submit questions to the CPA before the form is filed. Pt VI, Line 12c Each year every member of the Board of Trustees is required to complete a conflict of interest questionaire. The questionaire is turned into the Secretary for review. Any actual conflicts are reviewed by the full Board. Any person sitting on the Board who has a conflict of interest is prohibited from participating in deliberations and decisions in which the conflict exists. The questionaires are submitted to the Head of School for filing. Pt VI, Line 15a The officers who serve on the Executive Committee are responsible for periodically conducting and documenting a compensation review for the Head of School. Compensation decisions are based on the following: 1. The data collected and resulting summative evaluation from the Head of School assessment; and 2. Market-based benchmarking data which may include average salary data from local, state, and national surveys for private (Head of School), public school (Principal), and non-profit (Executive Director) positions. Members of the Board of Trustees shall serve without compensation in their capacity as trustees.
