However for any conflict of interest issues arising are discussed in regular staff/board meeting. The Exec. Director, Program Officers, and Fiscal Officers are aware of their responsibilities to report to the Board of Directors any knowledge of irregularities/incident of any potential fraud, abuse or irresponsible waste of funds. All Council documents are kept intact in secured places. The Form 990 draft is basically reviewed by Exec. Director and Fiscal officer. The approved draft is then presented to the members of the governing board for adoption. Form 990, Part VI, Section A, Line 2 Board members are elected by present board members with the advise from the Nomination Committee and then approved by the full board, of course board members that have a conflict of interest would not participate when these matters come up. Form 990, Part VI, Section B, Line 11b Prepared return is given to organizations governing body for review by email before special meeting. During the meeting, board members will discuss concerns and questions of the form 990. If the board members have no question, return will be filed.
