It is reviewed by the Executive Director and Finance Committee. After review the 990 is sent to the Board for final review and approval. Form 990, Part VI, Section B, Line 12c Board and key staff members sign the conflict of interest policy annually. Other new staff sign the policy upon hire. Upon completion of the paperwork the forms are reviewed by board leadership and the Executive Director. The board collects any necessary clarifying information and notes and conflicts. Anyone with a conflict is recused from discussions and voting on the related issues. Form 990, Part VI, Section B, Line 15 The Executive Committee approves changes in Executive Director compensation. They refer to independent wage and salary surveys for the local area, compare to other organizations of similar size and scope, and refer to HR consultants, if needed. They also keep in mind the financial needs of the organization. Form 990, Part VI, Section C, Line 19 Financial statements and governing documents are available upon request. The return was not filed by the original due date due to an oversight in tracking the filing deadline. Once the oversight was identified, the organization acted promptly to complete and file the return. The organization has historically made every effort to comply with all IRS filing requirements and has not had a pattern of late filings. Procedures have now been reinforced to ensure timely compliance going forward, including adding calendar reminders and strengthening internal review processes. We respectfully request that any penalties associated with this late filing be abated, as the failure to file on time was due to reasonable cause and not willful neglect.
