The full board receives a complete copy of the 990 prior to submission. Upon or before hire or election, each employee and board member must provide a full written discloure of all direct or indirect finanical interest that could potentially result in a conflict of interest. This written disclosure will be kept on file and will be update annually as needed. Employees and board members must disclose any interests in a proposed transaction or decision that may create a conflict of interest. After disclosure, the employee or board member will not be permitted to participate in the transaction or decision. On an annual basis, and the direction of the executive director, all employees and board members will be required to re-certify that all conflicts of interest have been disclosed and resolved. Should there be any dispute as to whether a conflict of interest exists, the Executive Director will determine whether a conflict of interest exists for an employee, and will determine the appropriate responese.
