We are writing to provide a reasonable cause explanation for the late filing of our 2023 Form 990 for tax year ending December 31, 2023. The return was due on November 15, 2024, including extensions. The late filing was the result of several unexpected and compounding administrative issues, none of which were due to willful neglect: 1) Difficulty Communicating with Accountant: Our organization encountered significant delays due to repeated and unsuccessful attempts to reach our external accountant, who became unresponsive due to a medical incident during the period leading up to, and after the filing deadline. 2) Registered Agent's Unexpected Retirement: Our registered agent, who had previously handled official correspondence and filing coordination, retired unexpectedly in September 2024. This caused confusion in responsibilities and contributed to the delay in initiating the filing process. 3) Transition to New Personnel: At the same time, the responsibility for managing the Form 990 process transitioned to two new staff members: a newly promoted Finance Specialist and a newly appointed Superintendent. Due to their lack of familiarity with the process and the other administrative disruptions mentioned, key steps were delayed. Once these issues were identified, we acted promptly to gather the necessary inform and file the return. We have since implemented reminders and sought out a new accountant to ensure future compliance with all IRS filing deadlines. We respectfully request that any associated penalties be abated, and the delay was due to reasonable cause and not willful neglect, consistent with IRS guidelines.
