However, the Board governance committee agreed it needed to perform its due diligence and look into the Treasurer's management of assets. Ultimately the Treasurer resigned abruptly only days before the filing due date. The materials that he turned over were not maintained in a way to track and report assets accurately. The Site Manager, Board and its new Treasurer (a CPA) had to do further investigation and unravel the materials to prepare an accurate 2023 filing. Independent of problematic management by the Treasurer, the tax preparer turned over the 990 for Board review, and the Board discovered numerous, significant errors in the document. The Board rejected the document until all errors were corrected. The Board's due diligence to investigate the Treasurer and to refrain from filing the document delayed its filing but it now has confidence it is filing an accurate return. The Board will be developing better fiscal policies and procedures to prevent a future occurrence of the problems. Notes I received regarding the events: The Board began questioning the Treasurer regarding what factors caused the need for until The Board Treasurer did not complete his obligations to maintain Only a few days before the deadline members of the Board of Directors discovered the tax preparer made numerous, significant errors that had to be corrected before it could be filed. based on the failure to act Eric's resignation letter was vague, delivered to me on November 7 effective immediately, just before the November 15 deadline to file the 2023 990. He claimed in person that it was because his term was up. But he had never mentioned it before or made a legacy plan with any of us to carry on his work after this abrupt ending. I was given a bag with all his financials, bills, receipts, notes, and the check book and he was on his way. The reason he left truly was because we started asking questions about why staff weren't paid properly, where funds and investments had been placed, why did he secretly pay his brother's company to do structural work on the barn with grant funding dollars? So instead of answering for these questions, he departed. Our accountant Debbie Williams had filed an extension to November 15. We had not had the board review the 990 ever prior to its filing. So we asked to see it before it was filed. Our meeting was November 13 and they had stuck MY name on it in light of Eric's departure, but I was not going to sign something I had no hand in preparing or documenting. There were so many inconsistencies, our board did have a motion to reject filing it. So if attaching the minutes or pulling the language we used in that motion are helpful, I am happy to send that in. Pasted language from the minutes below. From Nov 13 2024 meeting Mandy Altimus Stahl made a motion to reject the 990 prepared by accountant Debbie Williams [Exhibit I]. Susan Nason seconded. DISCUSSION: Form 8879TE - IRS Signatory Form did not include the correct person's details (it lists Mandy Stahl, when Eric Myers should have been listed, as Spring Hill Chair for the 2023 year). Also, both Mandy Altimus Stahl and Shelley Blundell shared that cursory review of the document shared by Debbie Williams contained numerous, significant errors. Motion approved by unanimous vote. Mandy Altimus Stahl will communicate directly with Debbie Williams to let her know the Board voted not to sign or authorize the filing of the 990 at this time and will inform her of all noted discrepancies at a later time for correction. In accompaniment with errors in 990, Shelley Blundell informed the Board she, Mandy Altimus Stahl, and Kathleen Bachtel have uncovered many financial discrepancies regarding Spring Hill's financials and may later consider filing a complaint with the Ohio Attorney General's office if deemed expedient. An online cloud-based file has been created for the purpose of collecting evidence and further updates will be provided to the Board and a vote held for approval to file at a later date if deemed appropriate.
