Form 990, Part VI, Section B, Line 12c The CFO and CEO on an annual basis, 3rd board meeting of the year would discuss any potential conflicts of interest and raise any concerns on an ad-hoc basis with the board. None per president for 2024. Form 990, Part VI, Section C, Line 19 policies are available upon request. Our organization experienced a temporary but material capacity constraint that prevented us from completing the financial close and filing Form 990 by the deadline. Specifically, we were unable to secure sufficient funding to hire a full-time controller to manage the close process, and our former CFO-who had been serving on a pro-bono basis-was unexpectedly unavailable due to obligations to a paying client. As a result, we did not have the professional staffing necessary to complete the close and finalize the return. Although we submitted a request for an extension, it was not approved. These circumstances were outside of our control and represent a reasonable cause for the delayed filing, rather than willful neglect. We have since taken concrete corrective actions to remediate the situation and prevent any future lapses. Our former CFO has committed dedicated time to complete the Form 990, and our Board approved the allocation of funds to hire a qualified controller to manage the monthly close, year-end reporting, and future Form 990 preparation. We have also strengthened our internal financial controls by implementing a documented monthly close process and establishing earlier internal deadlines for annual reporting. With these measures in place, we do not anticipate any delays or compliance issues for the 2025 filing cycle or beyond."
