Pt VI, Line 7a Each member company elects or appoints members of FPIs government body. Pt VI, Line 7b Some government decisions such as organizations budget, changes to bylaws and dissolution of the organization are subject to approval by the entire membership. Pt VI, Line 11b The FPI President reviews and approves the Form 990. Pt VI, Line 12c On an annual basis, each management person is required to complete a management person disclosure statement. The Institute reviews its business relationships to determine if there are any potential conflicts of interest. Pt VI, Line 15a Compensation Policy - The compensation policy of Foodservice Packaging Institute Inc (FPI) applies to the compensation of the President. The process includes all of the following elements: 1. Review and approval: the compensation of the President is reviewed and approved by FPIs Board of Directors, based on recommendations by the compensation committee (comprised of FPIs Chair and Immediate Past Chair), provided that persons with conflicts of interest with respect to the compensation arrangement at issue are not involved with the review and approval. 2. Use of data as to comparable compensation: The compensation of the President is reviewed and approved using data of comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations. 3. Contemporaneous documentation and recordkeeping: There is contemporaneous documentation and recordkeeping with respect to deliberations and decisions regarding the compensation arrangement. Pt VI, Line 19 The Institute will make Forms 1024 and 990 available upon request. Governing documents, financial statements and its conflict of interest policy are not provided to the general public.
