The goal of this change was to expand service zones and service hours, improve service frequency, and reduce customer wait times. Form 990, Part VI, Section A, Line 3 Management services, including the position of General Manager, was provided by a third party contractor during 2024. The contract for management services was approved by the Board of Directors. Form 990, Part VI, Section A, Line 4 In October 2024, the Board of Directors approved changes to the Hill Country Transit District (HCTD) bylaws which reduced the number of Board members required to be present for a quorum. Form 990, Part VI, Section B, Line 11b Form 990 is reviewed by the HCTD General Manager and/or Accounting Manager (or delegate) before submission to the IRS. The completed form is provided for informational purposes to the Board of Directors. Form 990, Part VI, Section B, Line 12c The Board of Directors voluntarily discloses any conflicts upon appointment to the Board. Board members provide updates annually and/or as a conflict arises or situation changes. Form 990, Part VI, Section B, Line 15 Management services, including the position of General Manager, was provided by a third party contractor during 2024. The contract for management services, including compensation, was approved by the Board of Directors. Compensation for all employees is subject to approval by the General Manager and Human Resources. Annual merit increases and/or pay raises are discussed with and approved by the Board of Directors as part of the annual budget process. Form 990, Part VI, Section C, Line 19 Available upon request. HCTD experienced delays in preparing its 2024 audit and Form 990 due to employee turnover in several key leadership and administrative positions, as well as program service changes that added financial reporting delays. HCTD is currently contracting for management services as well as financial management to ensure HCTD meets reporting deadlines in the future. HCTD submitted Form 8868 for extension on April 22, 2025. HCTD is submitting its 2024 Form 990 closer to year-end than it did in the prior year and will continue to work towards a more timely submission.
