When their questions have been answered, the 990 is signed by an officer and submitted to the IRS. The periodic reviews shall at a minimum include the following subjects: (a) Whether compensation arrangements and benefits are reasonable based on competent survey information, and the result of arms-length bargaining, and (b) Whether partnerships, joint ventures, and arrangements with management conform to the Organization's written policies, and are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes, and do not result in inurement, impermissible private benefit or in an excess benefit transaction. An excess benefit transaction is a transaction in which a director, officer, or major Organization donor receives an economic benefit from the organization greater than the economic benefit they have given to the Organization. Form 990, Part VI, Section B, Line 15 Form 990, Part VI, Section B, Line 15 - The following is the pertinent section of the Organization's Bylaws: 9.1 Reasonable Compensation: It is the policy of the corporation to pay no more than reasonable compensation for personal services rendered to the corporation by officers and employees. The Board of Directors must approve in advance the amount of compensation for officers of the corporation. Before approving the compensation of an officer, the Board shall determine that the total compensation to be provided by the corporation is a reasonable amount in light of the position, responsibility and qualification of the officer for the position held, including the result of an evaluation of the officer's prior performance for the corporation, if applicable. In making the determination, the Board shall consider total compensation to include the salary and the value of all benefits provided by the Corporation to the individual in payment for services. The only officer or director receiving compensation is the treasurer whose compensation was set at the time of his appointment in 2012 and has not changed.
