These relationships are disclosed to the governance committee which monitors compliance with the conflict of interest policies. These businesses contract with the organization or the individuals on the same or substantially similar terms that are available to other customers or contractors. The organization employed an independent compensation consultant to review industry data and assist with the process. The CEOs compensation is spelled out in a written employment agreement that was approved by the Board.
