The Board of Directors Conflict of Interest Policy states in part:We, the Board of Directors of Amigos Bravos, Inc., resolve that no member of the Board of Directors shall participate in any discussion or vote on any matter in which he of she , or a member of his or her immediate family, has a potential conflict of interest due either to:1) any direct or indirect financial interest; or2) participation, either direct of indirect, in other activities of matters, either personal or professional, which are contrary to the goals and mission of Amigos Bravos.In connection with any actual or possible conflict of interest, or appearance of a conflict of interest, an affected Board member shall disclose the existence of any financial interest, or disclose activities contrary to the goals and mission of the organization. He or she shall also disclose all material facts to the Board of Directors.Any Board member involvement with the operations is reviewed as it occurs per the Conflict of Interest Policy. The Board of Directors reviews and approves the quarterly financial statements.For at least the past fifteen years, when the revenue threshold of $500,000 has been exceeded, consistent with New Mexicos requirements for non-profit organizations the organization has prepared an audit with an independent CPA firm. Audit results are reviewed by the Executive Director, the Treasurer, and then the full Board of Directors.Prior to FY17, the organizations Form 990 was prepared by an independent bookkeeper and reviewed by the Executive Director, the Treasurer, and the auditor. For FY18, the organizations Form 990 will be prepared by an independent CPA firm and a similar level of review will be applied.
