Form 990, Part VI, Section A, line 3 The Association has a management contract with HHRC LLC, an unrelated for-profit company. Darrell Heisler is an employee of HHRC LLC and provided services to the Association as Executive Director. The total contract amount paid to HHRC LLC during 2023-2024 FY was $89,553. The 2023 calendar compensation paid to HHRC LLC for the Executive Director services was $79,375. Form 990, Part VI, Section A, line 6 Membership shall be for those individuals with responsibilities for personnel administration and related functions in public, private, or post-secondary school systems. The 4 groups of memberships for the Association are as follows: Active membership, retiree membership, lifetime membership, and associate membership. Form 990, Part VI, Section A, line 7a The Officers of the Association, including the President, the President-Elect, the Secretary, and the Treasurer are elected to terms by majority vote of active members by ballot. Form 990, Part VI, Section A, line 7b Amendments to the Bylaws may be proposed in writing by a current member at a regular meeting or to the Board. Members then vote on proposed amendments. Form 990, Part VI, Section B, line 11b The Association's Executive Director and Board Treasurer will review the return before it is signed and filed. Form 990, Part VI, Section B, line 15 The Executive Director, Darrell Heisler, is compensated by an unrelated management company. Their compensation is determined by contract. It was agreed that the Executive Director would be compensated $70,000 per year for services rendered and additional expenses are eligible for reimbursement such as lodging and travel, and a cell phone allowance is granted. The Board reviews and approves the Past President's, Jane Stencel's, compensation for services they provide to the organization in the capacity of HELP and Professional Development Coordinator on an annual basis. When Jane's compensation is discussed at the Board meeting, Jane is required to leave the room while the remaining Board members vote on her final compensation.
