Pt VI, Line 11b the 990 is presented to the finance committee for discussion, review and approval before authorizing it to be filed with the IRS. Pt VI, Line 7a Elections are held every year following the procedures in the revised by-Laws. Board members are elected by a 2/3 majority of the general membership present at a public meeting of the society. The Officers are elected by the Board Members. The normal term of office is 1-3 years. Pt VI, Line 6 the Society is comprised of members from the United States and some from foreign countries. A membership grants them the voting rights of the Board members of the society. Members also receive 2 publications annually. Members meet twice annually. Pt VI, Line 12c The Board is annually required in writing to disclose any possible conflicts of interest to the other members of the board who then decide if in fact there is a conflict. If there is a conflict the board will prohibit any transactions. The document is then signed. Pt VI, Line 7b Governance decisions are generally reserved to the Board of Directors / finance committee.
