Form 990, Part VI, Section A, Line 4 The COGF AA Group Members voted to make changes to the By-Laws in Article IV Advisory Board Committees Section A, making all Chairs of COGF Advisory Board Comittees voting members of the COGF Advisory Board. ( Previously 3 of the Committee Chairs did not have voting power). In Section B Term of Office the COGF AA Group Members voted to allow the Advisory Board to make exception to the 2 term limit if no one new stands for an open position with approval at a Members Meeting. Any proposed changes to the By-Laws are required to be published in the monthly Conscious Contact newsletter for two months prior to the vote. They also voted to make changes to Article VI of the By-Laws Section B clarifying the Duties of Officers and Article IX on who bares the expense of the onthly Conscious Contact Newsletter. Form 990, Part VI, Section A, Line 6 Each registered AA Member group in Central and Southeastern Ohio is entitled to a vote at eache quarterly Members Meeting with the COGF Advisory Board. This is where important issues are decided about the COGF Intergroup Office and each memeber group has a vote. This office belongs to the AA membership and is governed accordingly. Form 990, Part VI, Section A, Line 7a Each Member AA Group of COGF is entitled to one vote at quarterly meetings of the Members and at the December Members meeting each year Advisory Board Members are voted into office. Nine Officers and 3 Committee Chairs are voted in on even years and three Committee Chairs are voted in on odd years. Form 990, Part VI, Section A, Line 7b At the quarterly Members Meetings each COGF Member AA Group is entitled to one vote in any matter voted on at the Members meeting pertaining to COGF. We moved back in 2015 and the vote whether or not to move and then what location we would move to was decided by a vote of our members. Everything in AA is governed by Group Conscience. Form 990, Part VI, Section A, Line 8a Minutes are taken by the Advisory Board Secretary or Co-Secretary at every Board meeting and are historically preserved. Form 990, Part VI, Section A, Line 8b Each COGF Committee has an elected Secretary responsible for taking minutes at every meeting of the committee and those minutes are kept as a record of the committee's activities. Form 990, Part VI, Section B, Line 11b Copies were available at the March 8, 2025 Advisory Board Meeting for the Board members who may not have received the copy that was emailed to each member on Thursday March 6, 2025 for their review. Form 990, Part VI, Section B, Line 12c It is discussed at Board meetings to keep Board members aware of the need for them to be totally unbiased in their decision making pertaining to COGF. Form 990, Part VI, Section B, Line 15 The key employee is the Office Manager who is asked to do a self-evaluation near the end of every calendar year and is then is given a review by the Advisory Board Chair. After the review is done the Board Chair neets with the Treasurer to evaluate whether COGF can afford to pay for a raise and if they can, it is taken to a vote of the full Advisory Board. The Office Manager asks the part-time Assistant-Managers to do a self-evaluation near the end of every calendar year. Then the Office Manager does a review of each employee and if deemed necessary asks the Board to approve whatever amount that they, the Board Chair and Treasurer think is fair and ask for approval from the entire Board at the same time as the request for a pay increase for the Office Manager.
