Pt VI, Line 11b A copy of the Form 990 is provided to each of the Foundations board members prior to a scheduled meeting where Foundations CEO and tax preparer then together review the Form prior to its filing. Pt VI, Line 12c Potential conflicts with board members are asked to be disclosed on an application completed during the board member selection process. Board members are required to disclose any new activities that subsequently arise that could give rise to conflicts. Foundation executives monitor these disclosures to determine if an actual conflict exists. If such conflicts arise, the particular board member is prohibited from participating in the Foundations deliberations and decisions in the transaction.
