The Nomination Committee shall nominate one candidate for each vacancy on the association Board of Trustees. The committee shall report the names of the candidates to fill one-third of the trustees at the Annual Meeting. Following the report of the Nominating Committee, nominations shall be accepted from the floor. The majority of those present and voting shall be necessary for election of the Board of Trustees. The House Board shall have the power to fill a vacancy on the Board of Trustees for any cause other than expiration of term. The person so appointed shall serve until expiration of said term. Pt VI, Line 8a The House Board Secretary is the keeper of the records of the meetings held or written actions undertaken during the year. At every meeting the President asks for approval of the minutes of the previous meeting as read or distributed. The Secretary notes any correction made and marks the minutes with the date and initials as approved or approved as corrected then the minutes are signed by the Secretary and President. Minutes are the official and legal record of what took place at the meeting. Pt VI, Line 8b The House Board is independent. There are no committees that act on behalf of the Board. Pt VI, Line 11b The House Board Trustees are given a copy of the Form 990 prior to filing to review and revise if necessary. The copy is distributed via email and also via hard copy at the Annual House Board Meeting. Pt VI, Line 12c The EA House Corporation has a Conflict of Interest Policy that is signed annually by each member and the President keeps the copies for her records. Each member signs the policy stating to the best of their knowledge and belief, neither they or any person with whom they have or had a personal or business relationship is engaged in any transaction or activity or has any relationship that may represent a potential competing or conflicting interest. In the incident where there is a conflict of interest the member will be asked to resign from the House Board. Pt VI, Line 19 The governing documents, conflict of interest policy, and financial statements are available to the public upon request to any Board Trustee.
