Outgrowing Hunger retains its governance and decision making through its board of directors which oversees the contract with CDCO. CDCO hired former Outgrowing Hunger employees to provide services on this contract including Executive Director Adam Kohl. Part VI, Line 6 Program participants volunteers and partner staff are "members" who are eligible to vote on Board elections & bylaw changes. Part VI, Line 7a Membership is composed of all active members clients and volunteers. The governing body is elected bi-annually. Part VI, Line 7b Changes to governing documents must be approved by the members. Part VI, Line 11b This form was circulated electronically to all board members and officers for review and approval prior to submission. Part VI, Line 12c Compliance of the conflict of Interest policy is monitored by the full board of directors upon discussion of any decision or action which may result in an excess benefit transaction or compensation of an officer or key staff.
