This work includes water and sediment quality monitoring, pursuing cleanups of polluted industrial sites; protecting endangered species, and representing conservationist stakeholders interests in administrative proceedings and citizen enforcement actions under state and federal environmental statues. ERFs accomplishments this past year included settlements and compliance monitoring of agreements under the Federal Clean Water Act, Resource Conservation and Recovery Act, and Endangered Species Act, resulting in increased protection for Californias communities, waterbodies, and vulnerable wildlife species. ERF also continued its participation in efforts to protect endangered marine mammals from fishing gear entanglements in Monterey Bay. Ecological Rights Foundations Environmental Health, Awareness and Protection Campaign continued it successful work to reduce consumer exposures to toxic chemicals. ERF continued to focus on protecting consumers from reproductive harm caused by styrene, carbon monoxide and other chemical exposures, and the abatement of human health and ecological risks from dioxin and other highly toxic chemicals used to treat lumber products and utility poles. ERFs PERL Network project continued its work facilitating marine and climate research in the Pacific Region and supporting community-based natural resource protection and conservation to increase climate resilience. Form 990, Part VI, Section B, Line 12c Ecological Rights Foundation Conflict of Interest Policy (Monitoring & Enforcement):Each interested person has a duty to disclose to the Board all material facts regarding his/her, or its interest (including relevant affiliations) in a potential transaction. A conflict of interest is present when, in the judgment of the Board, an interested person's financial stake in the transaction is such that it reduces the likelihood that an insider's influence can be exercised impartially in the best interests of ERF (or as may otherwise be defined by applicable law). Interested persons who are members of the Board shall not be permitted to participate in deliberations or to vote, in determining whether the transaction is approved. The Board shall ascertain that all material facts regarding the transaction and the interested person's conflict of interest have been disclosed to the Board or Committee, and shall compile appropriate data to ascertain whether the proposed transaction is fair and reasonable to ERF. After exercising due diligence, which may include investigating alternatives that present no conflict, the Board or Committee shall determine whether the transaction is in ERF's best interest, for its own benefit, and whether it is fair and reasonable to ERF; the majority of disinterested members of the Board or Committee then in office may approve the transaction. If the transaction does not involve a director with a material financial interest, the transaction can be approved by the Board or Committee by majority vote of those present at a meeting for which quorum requirements have been met.Each director, corporate officer, and key employees of ERF, and others that ERF may identify, shall annually sign a statement, that: 1) affirms that the person has received a copy of the conflict of interest policy, has read and understood the policy, and has agreed to comply with the policy; and 2) discloses the person's financial interests and family relationships that could give rise to conflicts of interest. To ensure that ERF operates in a manner consistent with its charitable purposes and its status as an organization exempt from federal income tax, the Board shall authorize and oversee an annual review of the administration of this conflict of interest policy.
